Documents Required For Company Registration

When registering a company, whether it is a private limited company, limited liability partnership (LLP), or any other form of business entity, certain documents are typically required to complete the registration process. These documents are essential for providing information about the company and its shareholders or partners. Here is a list of commonly required documents for company registration:

  1. Identity and Address Proof of Directors/Partners/Shareholders:
    • Copy of PAN card: PAN (Permanent Account Number) is a mandatory document for all directors, partners, and shareholders.
    • Copy of Aadhaar card: Aadhaar card serves as proof of identity and address for Indian residents.
    • Passport (in case of foreign nationals): Foreign directors, partners, or shareholders must provide a copy of their passport.
  2. Passport-sized Photographs: Recent passport-sized photographs of all directors, partners, and shareholders are required.
  3. Address Proof of Registered Office:
    • Sale deed or rental/lease agreement: A copy of the sale deed or rental/lease agreement of the premises where the registered office is situated.
    • Utility bill: Copy of the latest electricity bill, water bill, or property tax receipt in the name of the registered office. The bill should not be older than two months.
    • No-objection certificate (NOC): If the premises are owned by someone else, an NOC from the owner is required.
  4. Memorandum of Association (MOA) and Articles of Association (AOA): These documents outline the company's objectives, share capital, internal regulations, and the rights and responsibilities of shareholders. The MOA and AOA need to be drafted and signed by all directors, partners, or shareholders.
  5. Director Identification Number (DIN) and Digital Signature Certificate (DSC):
    • DIN application: Form DIR-3 is required to apply for DIN for all proposed directors.
    • DSC application: Each director must obtain a Digital Signature Certificate (DSC) for electronic filing of documents.
  6. Declaration and Consent:
    • Consent to act as a director/partner: Each director/partner must provide a declaration and consent to act as a director/partner of the company.
    • Affidavit of non-disqualification: Directors/partners need to submit an affidavit stating that they are not disqualified from forming a company.
  7. Bank Account Details: Provide a copy of the canceled cheque or bank statement with the company's name printed on it.
  8. Additional Documents:
    • Common Seal: Some states in India require a company to have a common seal. If applicable, provide the details of the common seal.
    • Board resolution: In the case of a private limited company, a board resolution authorizing the company registration process is required.
